The terms that apply to this website and to our engagements

1. Scope
These terms govern your use of this website and any preliminary contact with ZIONN. Actual engagements are governed by a separate written agreement (a statement of work, master services agreement, or equivalent), and where that agreement conflicts with these terms, the agreement controls.
2. What this site is
This site describes our services and is a way to start a conversation. Nothing on it is an offer, a quote, or a commitment to deliver, and browsing it does not create a client relationship.
The assistant on this site gives automated, general answers. It is not advice, and it does not bind ZIONN to anything.
3. No professional advice
Content on this site is general information about software engineering practice. It is not legal, regulatory, security, medical, or financial advice, and it does not account for your specific circumstances.
In particular, references to HIPAA or any other regulation describe how we work; they are not a determination that your program is compliant. Compliance is assessed against your own systems, by your own advisers.
4. Your responsibilities
When you interact with us, you agree to:
- Give accurate information about yourself and your organization.
- Not submit anyone else’s confidential information, PHI, or regulated data through this website or the assistant.
- Use the site lawfully, and not attempt to disrupt or reverse engineer it.
The forms and assistant on this site are not a secure channel for sensitive data. Send it through a channel we agree on in writing.
5. Intellectual property
The content, design, and code of this site belong to ZIONN or its licensors.
Ownership of work produced in an engagement (code, documentation, and other deliverables) is set out in the agreement for that engagement, not here. Our default position is that the client owns what we build for them, with ZIONN retaining rights to its own pre-existing tools and general know-how.
6. Disclaimer of warranties
This website is provided "as is" and "as available". To the fullest extent permitted by law, ZIONN disclaims all warranties in relation to this website, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that this site will be uninterrupted, error-free, or free of harmful components.
This disclaimer applies to the website. Warranties for delivered work are set out in the engagement agreement.
7. Limitation of liability
To the fullest extent permitted by law, ZIONN is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of your use of this website, whether the claim is in contract, tort, or otherwise, and even if we were advised such damages were possible.
Our total liability arising from your use of this website will not exceed one hundred United States dollars (US$100).
Liability in an engagement is governed by that engagement’s agreement, which sets its own caps and exclusions.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under the law that applies to you. That includes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and any other liability applicable law does not permit us to limit.
8. Third-party links
This site may link to third-party sites. We do not control them and are not responsible for their content, practices, or availability.
9. Changes
We may update these terms. Changes take effect when published on this page, and the date at the top reflects the current version. Continued use of the site after that constitutes acceptance.
10. Governing law and forum
This website is directed to organizations acting in a commercial capacity, not to consumers.
These terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of laws rules. Subject to the paragraph below, the state and federal courts located in Maryland have exclusive jurisdiction over any dispute arising from this website, and you consent to that jurisdiction.
Where the mandatory law of your country of residence gives you the right to bring proceedings before your local courts, or requires that a different law govern, that right is unaffected by this section.
11. Severability
If any provision of these terms is held invalid or unenforceable, it will be applied to the minimum extent necessary to make it enforceable, or severed if that is not possible. Every remaining provision stays in full force.
Sections 3, 6, 7 and 10 continue to apply after you stop using this website.
